emg420 laptop cpu change?

I have a Emachines emg420 laptop, its current specs are:

CPU:
2.00 gigahertz AMD Sempron SI-40
64 kilobyte primary memory cache
512 kilobyte secondary memory cache
64-bit ready
Not hyper-threaded

RAM:
2814mb DDRII 667 MHz memory
Slot ‘S1′ has 1024 MB
Slot ‘S2′ has 2048 MB

Graphics/Display:
NVIDIA GeForce 9100M G with 256mb dedicated video [Display adapter]
Generic PnP Monitor (17.2"vis)

AndI want to Upgrade the CPU with a:

Processor AMD Turion II Ultra Dual-Core Mobile Processors
Model M640
OPN Tray: TMM640DBO23GQ
OPN PIB
Operating Mode 32 Bit: Yes
Operating Mode 64 Bit: Yes
Frequency (MHz): 2600
System Bus Speed (MHz): 3600
Wattage: 35 W
L2 Cache Size: 2000
Process Technology: 45nm SOI
Package/Infrastructure: Socket S1
Virtualization: Yes

I have opened the RAM/CPU cover and the CPU socket is a Socket S1

What Other Factors do I need to know for this Chip to work?
I have opened the RAM door and the CPU is right next to it, it appears that it is only screwed on
I have done a search on the CPU already in my Laptop and its a 25W, will 5W make it stuff up?

new SSE4.2 instructions adding string handling and CRC32 calculations
improved locking support
an additional cache hiearchy
improved looping and streaming support
better branch prediction
improved virtualization support with faster transitions into / out of virtual machines
simultaneous mult-threading – keeping the work units busy and improving performance
new TLB hierarchy – adds 512 small page 2nd level TLB
fast 16 byte unaligned access – basically eliminating the unaligned access speed penalty
faster synchronization primitives – improving multi-threaded performance

Each core has 32KB of instruction cache, 32KB of data cache, and a private unified 256KB L2 cache – and the four cores share a massive 8MB of L3 cache.

Which would be better for gaming?

which one of these would be better:

Please also tell me what motherboard would be best for whichever one is better(Intel or AMD) I want to play high requirement-needing games such as assasin’s creed 2, gta iv or prototype also I want to be able to use this processor for games for a couple of years or so(PLEASE GIVE AN ACCURATE ANSWER AND WHY IT IS BETTER THAN THE OTHER)

I am looking to built a new computer and i need to know which CPU Processor is better? Here is the info for both CPU’s both made by AMD

Ok so lets get this straight.

The similarities are:
They both are AM3
They both are quadcores
They both are 2.8GHZ
They both are 4000 system bus
They both are 64bit
They both are 512KB x 4 L2 Cache
They both have similar CPU benchmark scores. The Athlon II is 3360 and the Phenom is 3420 (pretty close)

Now the difference:
The Athlon II does not have a L3 cache and the Phenom has a 6MB L3 cache
The Athlon II is cheaper 8 and the Phenom is more expensive 2

Ok, so from my understanding is i’m paying more for the 6MB L3 Cache??? What is so great about the L3 cache? And why do both CPUs score almost the same in the CPU benchmark test. I don’t understand this. I am pushing to go to the Athlon II since it’s cheaper, i need to know what’s so good about the cache. what cpu should i go for? i’m confused
